If you are opening a shop in Des Moines, starting a remodeling business in Cedar Rapids or selling online from a farmhouse in Story County, Iowa makes the paperwork fairly light. There is no general state business licence. Instead, most sellers need a free sales tax permit, sole proprietors trading under a brand record it with the county, anyone doing construction work registers with the state once they earn more than a small amount, and cities license a short list of activities. This guide explains each of those, with the 2026 fees checked in October 2026, worked examples and the mistakes that cause problems later.

Quick answer

Iowa has no general state business license. If you sell taxable goods or services, get a sales tax permit from the Iowa Department of Revenue, which is free. Sole proprietors using a trade name record it with the county recorder. Anyone earning $2,000 or more a year from construction must register as a contractor with the state, and cities such as Des Moines license only listed activities.

  • State sales tax 6%, plus 1% local option tax in most places

  • Contractor registration: $50 a year or $150 for three years

  • LLC: $50 to form, $30 biennial report online

  • Des Moines alcohol licences: apply at least 45 days ahead

Does Iowa have a state business license?

No. Iowa does not require every business to hold a general state licence, and a consultant, designer or bookkeeper can usually start trading without asking any state agency for permission. What Iowa does have is a set of narrower requirements, each handled by a different office.

The Secretary of State forms LLCs and corporations and records fictitious names for entities. The Iowa Department of Revenue issues sales tax permits and withholding registrations through GovConnectIowa. The Department of Inspections, Appeals, and Licensing (DIAL), created in the 2023 reorganisation of state government, runs contractor registration, many trade licences and much of food safety licensing. Professional boards license occupations from accountancy to cosmetology. County recorders keep trade name statements for sole proprietors and partnerships. And cities license particular activities, issue building permits and enforce zoning.

For a typical retail or service business, the sales tax permit is the filing people usually mean when they search for an Iowa business license. For a construction business it is contractor registration. For everything else, the question is whether your activity is regulated by a state agency or your city.

The sales tax permit

You need an Iowa sales tax permit if you sell taxable goods or taxable services in Iowa. Iowa taxes a longer list of services than many states, including many repair, cleaning, personal care and pet grooming services, so service businesses should check the Department of Revenue's taxable services list before assuming they are exempt. The permit is free. You register online through GovConnectIowa, or on paper, and you need a federal EIN first.

Each location that makes taxable sales needs its own permit, and the permit is tied to the county where the business is. If you move to a new county, cancel the old permit and apply for a new one, because the local option tax that applies may change.

Once registered, you charge the 6% state rate plus local option sales tax, which is 1% in most Iowa jurisdictions, so the usual total is 7%, as in Des Moines. Most small sellers file annually if they collect less than $1,200 a year, and monthly otherwise. Out-of-state sellers register once their Iowa sales pass $100,000 a year. Our Iowa sales tax guide covers taxable services, filing dates and the annual sales tax holiday.

Trade names: county for owners, state for entities

Iowa splits trade name filings by business type, which confuses many new owners. Under Iowa Code chapter 547, a person may not do business under a trade name, or under any name other than the true surname of each owner, until they record a verified statement with the county recorder in the county where the business will operate. The statement lists the name, mailing address and residence address of each owner, and the business address. If ownership changes, a new statement must be recorded, and the original owners stay liable for the business's obligations until it is.

LLCs, corporations, limited partnerships and cooperatives registered with the state are exempt from the county filing. An entity that wants to trade under a different name files a fictitious name with the Secretary of State instead, which costs $5.

So "Anna Kowalski" trading as "Prairie Pottery" records a statement with her county recorder, while "Prairie Pottery LLC" trading as "Prairie Pottery Studio" files with the Secretary of State. Neither filing gives exclusive rights to the name; for that, register a trademark. Our DBA guide compares the rules in other states.

Contractor registration

Iowa is one of the few states that requires every construction contractor to register, regardless of trade. Under chapter 91C of the Iowa Code and DIAL's rules in chapter 465 of the Iowa Administrative Code, registration applies to all construction contractors except people who earn less than $2,000 a year from construction work. That includes general contractors, remodelers, roofers, painters, concrete workers, drywallers and handymen.

The standard fee is $50 a year or $150 for a three-year registration. Some contractors qualify to register without a fee and file a fee exemption form instead. Registration is not a test of competence; there is no exam. It exists so the state can track who is working, collect unpaid taxes and confirm unemployment and workers' compensation coverage.

Contractors based outside Iowa must also file a $25,000 surety bond on the department's form, or an equivalent, which secures the taxes and fees the contractor may owe in Iowa. The bond is released only after the department checks with the Department of Revenue and other agencies that nothing is owed. Penalties for working unregistered can reach $500 for a first violation and $5,000 per violation for later ones.

Registration is separate from trade licensing. Electricians, plumbers and mechanical contractors need state licences issued through DIAL's licensing boards, and some cities have their own contractor licences or registrations on top. Building permits are issued by the city or county where the work is done.

Food, alcohol and other state licences

Restaurants, grocery stores, food trucks, home food processors and many other food businesses need a food licence. In most of the state DIAL issues these, and in many counties a local health department acts under contract with the state to inspect and license food businesses. Alcohol sellers need a state alcohol licence, which requires local approval from the city or county first. Child care centres, salons, barbershops, massage therapists and the licensed professions each have their own state licensing body.

If you are unsure whether your activity is regulated, ask the agency that would regulate it before you sign a lease. Food and alcohol licences need inspections and local approval that can take several weeks.

Des Moines: City Clerk licences and permits

Des Moines does not issue a general business licence. Its City Clerk's office handles licences and permits for specific activities: alcohol (beer, wine and liquor), tobacco and vapes, mobile food units and transient merchants, peddlers selling door to door, pawn shops, theatres, street performers, haunted houses, coin-operated machines, solid waste hauling, salvage dealers and going-out-of-business sales. Pedicab licences are issued by the city's Traffic and Transportation division instead.

Alcohol applications need to reach the Clerk at least 45 days before you want to start selling, to allow time for processing. Food trucks need both the city's mobile food permit and a state food licence. Applications can be filed through the city's online Customer Self Service portal, and the Clerk's office answers licensing questions by phone at 515-283-4209.

If your business is not on the Clerk's list, a shop, office or studio in Des Moines needs no city business licence. You still need zoning approval for the premises, building and sign permits for any work, and a certificate of occupancy where the use changes.

If you hire employees

Hiring adds registrations rather than licences. You add a withholding account with the Iowa Department of Revenue, which is free and can be set up in GovConnectIowa alongside your sales tax permit. You register with Iowa Workforce Development for state unemployment insurance tax, and you carry workers' compensation insurance for your employees. Contractors need to watch this closely, because the state uses contractor registration to check that unemployment and workers' compensation are in place. Iowa follows the federal minimum wage of $7.25 an hour, and tipped employees can be paid $4.35 in cash wages if tips make up the difference. Since 2017, state law has stopped Iowa cities and counties from setting their own higher minimum wages, so the state figure applies everywhere. Register before the first payday so your first withholding deposit is on time.

Keeping everything current

Most Iowa filings renew on their own schedule, so put them in one calendar. An LLC files its biennial report with the Secretary of State by April 1 of each odd-numbered year, for $30 online or $45 on paper; miss it and the state can administratively dissolve the company, though reinstatement is possible. Contractor registration expires after one or three years depending on the term you paid for, and renewing late means paying the fee in force on the day the department receives your application. For your sales tax permit, report changes of address, ownership or location, and cancel it when you close or move to another county. City licences such as alcohol and tobacco renew annually on dates set by the city.

Home-based businesses

A home-based business in Iowa follows the same state rules as a storefront. If you sell taxable goods or services, your home is the location on your sales tax permit, and the local option tax for your city or county applies. If you trade under a brand as a sole proprietor, record it with the county recorder. Zoning is the local issue: most Iowa cities allow home occupations with limits on customer visits, employees, signs and parking, and some require a permit. Food made at home for sale is covered by Iowa's home food processing rules, which set out what can be sold without a licence and what needs one, so check them first.

Worked examples: first-year costs

A gift shop in Mount Vernon. Beth runs the shop as a sole proprietor under the name "Uptown Gifts", so she records a trade name statement with the Linn County recorder and pays the recording fee. She registers for a sales tax permit at no cost. A $40 print sold in town carries the 6% state rate plus 1% local option tax, so $2.80 in tax. Her sales are under $1,200 in tax a year, so she files one return each January.

A food truck in Des Moines. The owners form an LLC for $50, get a free sales tax permit, a state food licence and the city's mobile food permit from the Clerk. Their state formation cost is $50, plus $30 every two years for the biennial report. A $12 meal carries 7% tax, which is $0.84.

A roofer from Nebraska working in Council Bluffs. Before taking Iowa jobs, the company registers with DIAL for $150 for three years and files a $25,000 surety bond, because it is based out of state. It pulls city permits for each job, carries workers' compensation for its crew, and registers with the Iowa Department of Revenue if it sells materials separately or owes withholding for Iowa work.

Ask the city clerk whether your activity is licensed and the zoning office whether your location or home business is allowed.

Common mistakes and how to fix them

The first mistake is filing a sole proprietor's trade name with the state instead of the county. The Secretary of State's fictitious name is for entities. If you are a sole proprietor, record the statement with your county recorder, and record a new one if a partner joins or leaves.

The second is working as a contractor without registering because "it's just a side job". The threshold is only $2,000 a year, counted from all construction work. Register as soon as you expect to pass it; the fee is small and the penalties are not.

The third is keeping the same sales tax permit after a move. A new county means a new permit, and charging the old local rate leaves you owing the difference.

The fourth is assuming service businesses never collect tax. Iowa taxes many services. Check the taxable services list before you set prices.

The fifth is applying for a Des Moines alcohol licence a week before opening. Allow at least 45 days, and longer if the state licence or a building inspection is still pending.
