Iowa is one of the cheapest states in the Midwest to form and keep an LLC. You pay $50 to file a certificate of organization with the Secretary of State, and after that the only state filing is a biennial report that costs $30 online every second year. The detail that catches people out is the schedule: every Iowa LLC reports in odd-numbered years, and the first report falls in the first odd year after you form, which can be just a few months away. This guide walks a first-time founder through each step in order, from the name rules to taxes and a worked first-year budget. Every fee was checked against the Iowa Secretary of State's fee schedule, Iowa Code chapter 489 and Iowa Department of Revenue guidance in October 2026.

Quick answer

To start an LLC in Iowa, file a certificate of organization under Iowa Code chapter 489 with the Iowa Secretary of State and pay $50. Name a registered agent with an Iowa address. Then file the biennial report between January 1 and April 1 of every odd-numbered year, starting the first odd year after you form, for $30 online.

  • The name must include "limited liability company", "limited company", "LLC", "L.L.C.", "LC" or "L.C."

  • A registered agent with an Iowa place of business is required

  • Biennial report: $30 online or $45 on paper, odd years only

  • Missed reports lead to administrative dissolution; reinstatement costs $5 plus the report

  • Business tax permits from the Department of Revenue are free

What an Iowa LLC is and who should form one

An Iowa limited liability company is formed under the Revised Uniform Limited Liability Company Act in chapter 489 of the Iowa Code. The chapter was reorganised and renumbered from January 1, 2024, so older guides that cite section numbers such as 489.206 or 489.209 for the biennial report now point to different provisions. Under section 489.108, an Iowa LLC is an entity distinct from its members, can have any lawful purpose and has perpetual duration.

The practical benefit is the same as anywhere: the company's debts, contracts and lawsuits belong to the company, so a creditor of the business generally cannot reach your home or personal savings. That protection holds only if you run the LLC as a separate business, with its own bank account, contracts in its own name and records of money moving in and out.

The Iowa Secretary of State's Business Services division in Des Moines keeps the register. You search names, file the certificate of organization, file biennial reports and order certificates of existence through its online Fast Track Filing system or on paper. Tax registration is separate and runs through the Iowa Department of Revenue.

For federal tax, a one-owner LLC is a disregarded entity and a multi-owner LLC is a partnership, unless you elect to be taxed as a corporation. Iowa follows the federal classification and does not charge an annual franchise or entity-level tax just for being an LLC. An LLC suits most small Iowa businesses: contractors, consultants, online sellers, salons, food trucks, landlords and small manufacturers. Farms are a special case because of the farmland ownership rules covered below. You do not need to live in Iowa or be a US citizen to own one, and one person can form it alone.

Step 1: Choose a name that meets the Iowa rules

Section 489.112 sets the name rules. The name must contain "limited liability company" or "limited company", or one of the abbreviations "L.L.C.", "LLC", "L.C." or "LC". You can shorten "limited" to "Ltd." and "company" to "Co." The name must not include words that need approval from another state agency, such as words suggesting a bank or insurer, unless you file that approval.

The name must also be distinguishable on the Secretary of State's records from existing entities, registered and reserved names, and fictitious names. Iowa protects the names of administratively dissolved businesses for five years after dissolution, so a name that belonged to a company dissolved three years ago may still be blocked. Endings such as "LLC", "Inc." or "Ltd." are ignored when comparing names, so "Cedar Valley Builders LLC" is not distinguishable from "Cedar Valley Builders, Inc." If you have the other business's written consent and its undertaking to change its own name, you can use a name that would otherwise clash.

Search the Secretary of State's business entity database before you pay for signs or a domain, and use our LLC name checker to test variations. If you are not ready to file, you can reserve a name for 120 days for $10. Most founders skip the reservation and file the certificate straight away.

Trading under another name. If your LLC will trade as "Hawkeye Lawn Care" rather than "Hawkeye Outdoor Services LLC", file a fictitious name with the Secretary of State for $5. Iowa does not require newspaper publication. Our DBA guide explains how assumed names work across states.

Step 2: Appoint a registered agent

Section 489.115 requires every Iowa LLC to designate and keep a registered agent in Iowa, and the agent must have a place of business in the state. The certificate of organization gives the agent's name and Iowa street and mailing addresses. Naming an agent is itself a statement that the agent has consented to serve, so ask before you list anyone.

Most owners who live in Iowa act as their own agent at their home or business address. That works if someone is reliably there to receive legal papers, but the address becomes public. Owners who live in another state, or who want to keep a home address off the record, usually pay a commercial registered agent, typically around $50 to $300 a year (an estimate based on published price lists of national agent services, not an official figure).

Changing the agent later is free: the statement of change has no fee, and Iowa lets you make the change on the biennial report form itself. That flexibility matters, because under section 489.708 an LLC that goes 60 days without a registered agent, or fails to tell the Secretary of State that the agent's address changed, can be dissolved just as if it missed a report.

Step 3: File the certificate of organization

Iowa uses the name certificate of organization rather than articles of organization. Under section 489.201 it must state three things: the LLC's name, the street and mailing addresses of the principal office, and the registered agent's name and Iowa street and mailing addresses. You can add other provisions, but most owners keep the certificate short and put the detailed rules in an operating agreement. The LLC is formed when the certificate becomes effective.

One or more organizers sign and file it. The fee is $50 whether you file online through Fast Track Filing or on paper, so the online route mainly saves postal time. The Secretary of State also offers preclearance and expedited services for complex filings; ask the office about current turnaround if you are working to a deadline.

Filing an Iowa certificate of organization online

  1. 1

    Check the name

Search the Secretary of State's database, remembering that names of businesses dissolved in the last five years are protected.

  2. 2

    Confirm the registered agent

Get the agent's agreement and their Iowa street and mailing addresses.

  3. 3

    Enter the principal office

Give both a street and a mailing address; the principal office can be outside Iowa.

  4. 4

Pay and file on Fast Track Filing

Pay $50 and download the filed certificate.

Tip: Note the year you formed: your first biennial report is due by April 1 of the next odd year.

Why filings get rejected. The usual reasons are a name that is not distinguishable from one on file, a missing LLC ending, a restricted word without agency approval, missing street or mailing addresses for the agent, and an agent without an Iowa place of business. Fix the issue and resubmit. Until the certificate is effective the LLC does not exist, so avoid signing a lease or opening an account in its name before then.

Step 4: EIN, operating agreement, bank account and tax registration

EIN. Apply for an employer identification number from the IRS once the certificate is filed. It costs Free ($0), and the online application issues the number at the end of the session. You need it for the bank, for hiring and for Iowa tax permits. Our EIN application guide walks through each screen.

Operating agreement. Iowa does not ask you to file an operating agreement, but chapter 489 lets it set most of the rules: profit shares, who can sign contracts, how a member exits, and whether the LLC is run by members or managers. Without one, the statute's default rules apply. A single-member LLC should still have a short agreement, because banks ask for it and courts look at it when deciding whether the company is genuinely separate from you.

Bank account. Open a business account in the LLC's name with the filed certificate, the EIN confirmation and the operating agreement. Pay business expenses only from that account and pay yourself by transfer; our guide on how to pay yourself from an LLC explains draws and salary.

Department of Revenue. If you sell taxable goods or services, register for a sales tax permit through GovConnectIowa before your first sale. Iowa's business tax permits are free, and you need the EIN first. If you hire, register for withholding with the Department of Revenue and for unemployment insurance with Iowa Workforce Development.

Beneficial ownership reporting. Since FinCEN's March 2025 interim final rule, companies formed in the United States no longer file beneficial ownership information reports, so a new Iowa LLC has no BOI filing (current position: Not required for US-formed companies).

The biennial report and keeping the LLC active

Under section 489.212, every Iowa LLC files a biennial report with the Secretary of State. It confirms the LLC's name, the registered agent's name and street address, and the principal office street address, and it covers the two-year period before the year of filing. You can also use it to change the registered agent or the agent's address.

The schedule is the same for every LLC, regardless of the month you formed: reports are filed between January 1 and April 1 of odd-numbered years. The first report is due in the first odd-numbered year after the calendar year of formation. An LLC formed in 2026 files its first report by April 1, 2027, only a few months later; an LLC formed in 2027 files first in 2029. After that, every odd year. The fee is $30 through Fast Track Filing or $45 on paper.

Administrative dissolution. Under section 489.708, the Secretary of State can begin dissolving an LLC that has not delivered its biennial report within 60 days after it is due, has not paid required fees or taxes within 60 days, or has been without a registered agent for 60 days. The office serves a written notice, and the LLC then has 60 days to fix the problem or show that it does not exist. If it does not, the Secretary of State signs a certificate of dissolution. A dissolved LLC still exists, but under section 489.709 it may only wind up its affairs.

Reinstatement. Section 489.710 lets a dissolved LLC apply for reinstatement at any time. The application costs $5; it states the dissolution date and that the grounds have been eliminated, which in practice means filing the missed biennial report too. Once granted, reinstatement relates back to the dissolution date as if it never happened. Timing matters for the name: an LLC that reinstates within five years keeps its name, but after five years it must show a name that is still available, and the reinstatement can amend the name.

Other filings you may need later: an amendment to the certificate ($50) if you change the LLC's name, and a certificate of existence when a bank, lender or public agency wants proof the LLC is active. Our certificate of good standing guide explains how these certificates work.

Farmland, licences and local registrations

Farmland. Iowa Code chapter 9H restricts who can own or lease agricultural land. Under section 9H.4, an LLC may not directly or indirectly acquire or lease agricultural land in Iowa unless it is a family farm limited liability company or an authorized limited liability company, or one of the listed exceptions applies, such as land used for research or held as security. Family farm LLCs have ownership and income tests, and qualifying entities have reporting duties. If your LLC will buy, rent or farm land, have an Iowa agricultural lawyer check the structure before you sign.

Sales tax. Iowa's state sales tax rate is 6%. Most of the state also has a 1% local option sales tax, so Des Moines totals 7%. Many services are taxable in Iowa, so check your services before assuming you need no permit. Our Iowa sales tax guide covers rates, taxable services, filing frequency and the free permit.

City licences and state boards. Iowa has no general state business licence. Cities license particular activities and set zoning rules, and state boards license professions and trades such as contractors, cosmetology, real estate and health care. Contractors working in Iowa register with the Iowa Division of Labor. Check with your city and the relevant board before opening.

How Iowa LLC owners are taxed

A single-member LLC owned by a person is ignored for income tax. The profit goes on the owner's federal Schedule C and the Iowa individual return. Iowa has a flat income tax: since Senate File 2442 was signed in May 2024, a single rate of 3.8% applies to all taxable income, and the Department of Revenue confirmed that rate for 2026. That makes Iowa's income tax easy to estimate: $40,000 of taxable profit means about $1,520 of Iowa tax before credits.

A multi-member LLC taxed as a partnership files an Iowa partnership return each year and passes income to the members, who pay tax on their shares. Members who live outside Iowa owe Iowa tax on their Iowa-source share. An LLC can also elect S corporation treatment, which lets working owners split income between a reasonable salary and distributions to cut self-employment tax, at the cost of running payroll. Read LLC vs S corp for the federal side.

What it costs: a worked first-year budget

The table shows three realistic Iowa LLCs. State fees come from the Secretary of State's fee schedule. The registered agent line is a market estimate.

What the table leaves out. Insurance, an accountant, city licences and food or trade permits sit on top. A coffee cart, for example, needs a mobile food unit licence from the Iowa Department of Inspections, Appeals, and Licensing or its local contract agency.

Over five years. An Iowa LLC formed in 2026 costs $50 to form plus reports in 2027 and 2029, about $110 in state charges over five years. Neighbouring Minnesota charges $155 online to form with a free annual renewal, while Illinois charges $150 to form and $75 every year.

Worked examples

A Cedar Rapids marketing consultant. Jenna files online for $50 in May 2026, names herself as registered agent at her home office, and gets an EIN the same afternoon. Because the next odd year is 2027, her first biennial report is due by April 1, 2027, less than a year later. She sets reminders for February 2027 and February 2029, and checks the Department of Revenue's list of taxable services to see whether any of her work needs a sales tax permit.

A two-owner coffee cart in Des Moines. Tom and Priya reserve "Raccoon River Roasters LLC" for $10 while they finish the cart, then file the certificate. They trade as "River Roast", so they file a $5 fictitious name. They register on GovConnectIowa for a free sales tax permit, charge the 7% combined rate on taxable sales, and file an Iowa partnership return each year with a share of income for each owner.

A Nebraska contractor working in Council Bluffs. Andre lives in Omaha and takes remodelling jobs across the river. Instead of registering his Nebraska company in Iowa as a foreign LLC for $100, he forms an Iowa LLC for $50 and pays a commercial agent with an Iowa place of business. He registers as a contractor with the Iowa Division of Labor before starting work and files an Iowa nonresident return for his Iowa profit.

Common mistakes and how to fix them

Assuming the first report is two years away. It is due in the first odd year after formation. An LLC formed in an even year files within months, not years.

Filing in an even year. Iowa LLCs report only in odd years. A report filed in an even year does not count for the next odd year, which needs its own report.

Letting the agent lapse. Going 60 days without a registered agent is a ground for dissolution, just like a missed report. If your agent resigns or moves, file the free statement of change straight away.

Buying farmland through an ordinary LLC. Chapter 9H restricts agricultural land ownership by LLCs. Check the family farm and authorized LLC rules before closing on land.

Paying look-alike mailers. Letters offering to file your "annual report" or sell a certificate for $70 to $200 come from private companies. The biennial report costs $30 directly on Fast Track Filing.

What to do next

Check your name with our LLC name checker, file the certificate on Fast Track Filing and get your EIN the same day. Put the first odd-year April 1 deadline in your calendar, then register on GovConnectIowa if you sell taxable goods or services; the Iowa sales tax guide explains the permit and rates. If you are still choosing a structure, our LLC registration guide and LLC vs sole proprietorship explainer cover the wider choices.
