South Dakota does most of its business regulation through taxes. There is no general state business licence and no state income tax, but there is a broad sales tax that reaches services as well as goods, and the Department of Revenue wants every taxable business licensed before its first sale. Construction has its own tax licence, trades such as electrical and plumbing are licensed by the state, and cities such as Sioux Falls and Rapid City license building contractors and a list of specific activities. This guide covers each layer, with the 2026 fees checked against state and city sources in October 2026.

Quick answer

South Dakota has no general state business license. If you sell taxable goods or services, you need a sales tax licence from the Department of Revenue, and if you contract construction work you need a contractor's excise tax licence; both are free. Electricians and plumbers hold state licences, and Sioux Falls and Rapid City license building contractors and listed activities, not every business.

  • State sales tax 4.2%; 6.2% in Sioux Falls and Rapid City

  • LLC: $150 online, then $55 a year

  • DBA: $10 for five years

  • Operating a taxable business without a licence is a misdemeanor

Does South Dakota have a state business license?

No. South Dakota has no single licence that every business must hold. Instead, the registrations you need depend on what you sell and where. The Department of Revenue (DOR) issues sales and use tax licences and contractor's excise tax licences through its online Tax License Application. The Secretary of State registers LLCs, corporations and DBAs. State boards and commissions license trades and professions, including electricians, plumbers, cosmetologists and massage therapists. Cities license particular activities and contractors, issue building permits and enforce zoning.

The sales tax licence is the closest thing the state has to a general licence, because the tax covers so much. In South Dakota, services such as repairs, cleaning, landscaping and many professional services are taxable unless specifically exempt, so a service business that would need no licence in many states often needs one here. DOR's guidance says there is no sales threshold before a licence is needed: if you run a taxable business, you need one.

So the answer to "do I need a business license in South Dakota?" usually comes down to two questions. Do you sell anything taxable? Then you need a sales tax licence. Do you contract construction work on real property? Then you need a contractor's excise tax licence, and probably a city contractor licence too.

The sales tax licence

Any retailer selling, renting or leasing products or services in South Dakota, including products and services delivered electronically, needs a sales tax licence. That applies whatever the business structure, nonprofits included. A business with a physical presence in the state needs one from its first taxable sale. A business with no physical presence needs one once its gross sales into South Dakota exceed $100,000 in the current or previous calendar year.

The licence is free. You apply online, and you can sign up to file and pay electronically at the same time. DOR issues a licence card once your application is approved and tells you how often to file. You need a licence for each business location, and DOR's FAQ adds that a separate licence is needed for each type of business. Businesses with several locations under identical ownership, the same federal ID, the same industry classification and the same licence type can apply to file one consolidated return.

The penalty for skipping it is real. Under SDCL 10-45-48.1, operating a taxable business without a licence is a Class 1 misdemeanor, with a fine of up to $1,000, up to a year in jail, or both. Carrying on after DOR has told you a licence is required is a Class 6 felony. Licences are not transferable either: a new owner, or a sole proprietor who incorporates, needs a new licence.

Once licensed, you charge the 4.2% state rate plus any city sales tax where the customer receives the goods or service. Sioux Falls and Rapid City both come to 6.2%, and restaurants and bars there add a 1% municipal gross receipts tax. The 4.2% state rate is scheduled to return to 4.5% after June 30, 2027 unless lawmakers act. Our South Dakota sales tax guide covers rates, taxable services and filing.

Construction: an excise tax licence, not a competency licence

South Dakota taxes construction differently from most states. Prime contractors pay a 2% contractor's excise tax on their gross receipts from construction services and realty improvement projects, and anyone entering into a contract for construction, building, installation, repair or remodelling of real property needs a contractor's excise tax licence before starting work. DOR says all contractors must be licensed regardless of how much they earn or how much tax is due. The licence is free.

There is one useful exception. A business that regularly employs its own staff to repair, maintain or improve property it owns does not need a contractor's excise tax licence, because it is not acting as a prime contractor. The repair person it hires from outside, though, owes the tax on the realty improvements they do.

What the excise tax licence does not do is prove you are qualified. Sioux Falls states plainly that a South Dakota contractor's excise tax licence does not qualify you to work as a residential contractor in the city, and Rapid City makes the same point: the state issues only a tax licence, so a separate city licence is needed. Electrical and plumbing work are different again, because those trades are licensed by the state, and Sioux Falls requires the state licence before you can sit its own electrical or plumbing exam.

South Dakota does require DBA filings. If you do business under a name other than your own legal name, you register it as a DBA, or fictitious business name, under SDCL chapter 37-11. You can file online with the Secretary of State or on paper at your county Register of Deeds, and the fee is the same either way: $10. A registration lasts five years, renewal also costs $10, and an expired name has to be registered again as a new DBA. The Secretary of State registers DBAs but does not police how they are used, and a DBA gives you no exclusive right to the name.

An LLC costs $150 to form online or $165 on paper, and corporations pay the same. Every LLC and corporation then files an annual report, due on the first day of the anniversary month of its formation, for $55 online or $70 on paper. You can file up to two months early. If the report is still missing two months after the due date, the entity becomes delinquent and a $55 late fee applies, and the Secretary of State can begin administrative dissolution.

Reinstating a dissolved LLC costs a $150 fee plus the missing annual report fees, and the application needs a certificate from DOR showing that all taxes are paid. That last requirement links your company's standing to your tax licence, so a business that lets its sales tax returns lapse can find itself stuck when it tries to reinstate. Our DBA guide compares naming rules across states.

Food, alcohol and other regulated activities

Some activities need a specific licence whatever your structure. Restaurants, food service, lodging and campgrounds are licensed and inspected by the South Dakota Department of Health. Alcohol licences start with your city or county, whose governing body approves the application, and are issued through the Department of Revenue. Professions and trades have their own boards: electricians and plumbers are licensed by the state, and massage therapists and massage establishments are licensed by the South Dakota Board of Massage Therapy, which took over from Sioux Falls' former city licence.

If you employ people, you register with the Department of Labor and Regulation's Reemployment Assistance unit for unemployment insurance; every new or acquired business with employees must do so. South Dakota has no state income tax, so there is no state withholding account to open. The state minimum wage is $11.85 an hour in 2026, with a $5.93 cash wage for tipped employees when tips make up the difference.

Sioux Falls: licences for listed activities

Sioux Falls says not all businesses and professions need city licensing. Its Code of Ordinances lists the licences the city issues, and they are spread across departments. The City Attorney's Office handles alcohol licences, video lottery placement, medical cannabis, pawnbrokers and secondhand and precious metals dealers, transportation services and a few others. Police Records licenses alarm businesses, peddlers and mobile food vendors. The Health Department licenses day cares and tattoo artists and studios, and the landfill licenses haulers.

Contractor licensing runs through Planning and Building Services. Anyone doing work that needs a building permit on one- and two-family homes and townhomes, including decks, sheds, roofing and basement finishing, needs a residential building contractor licence. The company's construction supervisor passes a city exam, which costs $75 and is offered monthly, and the company files a $20,000 compliance bond in the city's name and at least $300,000 in general liability insurance. Licences renew every three years with at least an hour of continuing education.

Commercial projects, including apartment buildings, don't need a general contractor licence in Sioux Falls, though they still need plan review and permits. Homeowners working on their own homes don't need a licence either, but they still pull permits and pass inspections. Electrical, plumbing and mechanical contractors each need separate city licences and exams.

Rapid City: Finance Office licences and contractor licensing

Rapid City splits licensing between two offices. The Finance Office licenses only listed business types, such as security services, taxis, refuse haulers and alcohol-related businesses. If your business is not in one of those categories, the Finance Office does not require a business licence from you.

Contractors are licensed by the Building Services Division. The application asks for a copy of any state licence, your contractor's excise tax certificate, workers' compensation proof and a certificate of insurance naming the City of Rapid City, with liability cover of at least $1,000,000. Exams depend on the class, residential or commercial. Most initial licences cost $200 and most renewals $100, licences run for three years, and general building, sign, roofing, siding and mechanical licensees need six hours of continuing education per period. Rapid City's sales tax comes to 6.2%.

Home-based and seasonal businesses

A home-based business follows the same state rules as a storefront. If you sell taxable goods or services, you need a sales tax licence with your home as the location, and you charge the city rate where the customer receives the goods. Zoning is the local question: cities generally allow home occupations within limits on customer visits, employees, signs and storage, so check before you advertise an address.

Seasonal and tourist businesses in the Black Hills and other visitor areas have an extra layer. Lodging, campgrounds, attractions and certain rentals collect a 1.5% state tourism tax on top of sales tax, and some visitor-heavy businesses collect it only in the summer months. Register for it at the same time as your sales tax licence so your first summer's returns are right.

Worked examples: first-year costs

A boutique in Sioux Falls. Megan runs the shop as a sole proprietor under the name "Prairie Thread". She registers the DBA online for $10, applies for a free sales tax licence before opening, and charges 6.2% on sales. She needs no city licence. Her state registration cost in year one is $10, and she renews the DBA in five years.

A remodelling company in Sioux Falls. The owners form an LLC for $150, get a free contractor's excise tax licence, and the construction supervisor passes the city exam for $75. They file the $20,000 bond and liability insurance, pay the city licence fee, and pull a permit for each job. On a $40,000 bathroom-and-basement job, they owe 2% contractor's excise tax on their gross receipts, about $800.

A lawn care business in Rapid City. Because landscaping and lawn services are taxable in South Dakota, the owner needs a sales tax licence and charges 6.2% on a $60 mowing visit, or $3.72. No Finance Office licence applies, but if the business later builds retaining walls or patios, those are realty improvements that bring the contractor's excise tax and possibly a city contractor licence into play.

Common mistakes and how to fix them

The first mistake is assuming a service business is not taxable. South Dakota taxes most services, so cleaners, repairers, landscapers and many others need a sales tax licence. If you are unsure, check DOR's list of taxable services before your first invoice, not after an audit.

The second is treating the contractor's excise tax licence as permission to build. It is a tax registration. In Sioux Falls and Rapid City you also need a city contractor licence, and electrical and plumbing work needs a state licence first.

The third is keeping the old licence after a change of ownership. When a sole proprietor forms an LLC, or a business is sold, the new owner needs a new tax licence, and the old one should be cancelled with a final return.

The fourth is missing the annual report. The due date is the first day of your formation anniversary month, not a single statewide date, so diary it the day you form. Two months late brings a $55 fee and the risk of dissolution.

The fifth is letting a DBA expire. Once it lapses, you file again as a new registration, and someone else could register the name in the meantime. Renew in the window before it expires.

Frequently asked questions

No. South Dakota has no general state business licence. What most businesses need is a tax licence from the Department of Revenue: a sales tax licence if you sell taxable goods or services, or a contractor's excise tax licence if you do construction. Both are free. Regulated activities and some city-licensed businesses need more, and Sioux Falls says not all businesses need city licensing.
