Nebraska is one of the easier states to open a business in, at least on paper. There is no general state business license, Omaha says plainly that it has no business licence requirement, and the sales tax permit most sellers need costs nothing. The obligations that do exist sit in less obvious places: contractor registration with the Department of Labor, occupation taxes that Omaha, Lincoln and other cities charge on restaurants and hotels, liquor licensing that runs through both the city and the state, and trade name and LLC filings with the Secretary of State. This guide covers each one, with the 2026 figures and worked examples. We checked every figure in October 2026.

Quick answer

Nebraska has no general state business license, and Omaha has no city business licence. If you sell taxable goods or services, you need a sales tax permit, which is free from the Department of Revenue on Form 20. Contractors register with the Department of Labor ($25 a year), and cities tax or license specific activities such as restaurants, hotels and liquor.

  • State sales tax 5.5%; 7% in Omaha, 7.25% in Lincoln

  • Omaha restaurant occupation tax 2.5%; Lincoln 2%

  • Trade name registration is optional: $100 online

  • LLC formation $100 online, plus newspaper publication

Does Nebraska have a state business license?

No. Nebraska does not require every business to hold one state licence. Instead, a new business deals with the agencies that cover its particular activities.

The Secretary of State forms LLCs and corporations and registers trade names. The Department of Revenue (DOR) issues sales tax permits and registers employers for income tax withholding, all on one application, Form 20. The Department of Labor registers contractors and runs unemployment insurance. The State Electrical Division licenses electricians. Professional boards under the Department of Health and Human Services license health professions and cosmetologists, a separate board licenses barbers, and the Nebraska Liquor Control Commission issues liquor licences. Cities and counties handle zoning, building permits, local occupation taxes and some activity licences.

For a shop, a café or an online seller, the sales tax permit is what people usually mean by a Nebraska business license. For a consultant or designer selling services Nebraska does not tax, there may be nothing to obtain beyond an LLC filing, if you form one. Our Nebraska LLC guide covers that route: the certificate of organization costs $100 online, the LLC must publish a notice in a local newspaper for three weeks, and biennial reports are due by April 1 in odd-numbered years for $25 online.

Omaha's OneBiz portal puts it simply: there is no business licence requirement with the City of Omaha, but most businesses must register with the State of Nebraska and the IRS, and certain activities are covered by the city's occupation tax and licensing rules in Chapter 19 of the municipal code.

The sales tax permit

You need a sales tax permit before you make taxable retail sales in Nebraska. That covers storefronts, home-based and online sellers, restaurants and bars, and service businesses whose services Nebraska taxes, such as building cleaning, pest control, towing, car washing, security services, pet grooming and the repair and installation of many goods. Our Nebraska sales tax guide has the full list.

You apply on the Nebraska Tax Application, Form 20, which DOR accepts online or on paper. The same form registers you for withholding if you have employees. There is no charge: Nebraska has issued permits for free since October 1, 2002, and DOR warns about websites that offer to "sell" permits or certificates. You need a separate permit for each retail location, and you must display it where you do business. If you move, file a change request rather than a new application. A fee applies only if DOR revokes a permit for violations and later reissues it.

Once registered you charge the state rate of 5.5% plus any local rate. Omaha's combined rate is 7%, made up of the state rate and the city's 1.5%, and Lincoln's is 7.25%. Out-of-state sellers register once their Nebraska sales pass $100,000 or 200 transactions in the current or previous year. Returns are due on the 20th of the month after each period, and you must file even when you had no sales.

Contractor registration

Nebraska has no general state licence for building contractors, but it does keep a register. Under the Contractor Registration Act, contractors and subcontractors doing business in Nebraska must register with the Department of Labor before they work. The fee is $25 a year. The fee, though not the registration itself, is waived for a self-employed person, meaning a sole proprietor or single-owner LLC, who pays no more than $3,000 a year to employ others in the business. Contractors who only drill water wells or install septic systems are outside the Act.

Registration and renewal are online. You create a profile, register, and renew each year by the anniversary of your registration; renewals open 30 days before expiry. Contractors with one or more employees must also keep a current workers' compensation certificate of insurance (an ACORD 25 form) on file with the Department of Labor as certificate holder. If the coverage lapses, the department removes the contractor from its list of registered contractors until the insurer sends an updated certificate. Omaha also reminds contractors with employees that the Nebraska Employee Classification Act applies, which is aimed at contractors who treat employees as independent contractors.

Registration with the Department of Labor is separate from the tax side. When a construction contractor registers, it also chooses one of three options for how sales tax on building materials will be handled, and that choice decides whether the contractor needs its own sales tax permit. Trades add another layer: electricians and electrical contractors are licensed by the State Electrical Division, and plumbing and some other trades are licensed by cities. In Omaha, building, electrical and plumbing licences and permits are handled online through OmahaPermits.com.

Trade names

Nebraska trade name registration is voluntary. If you trade under a name other than your own legal name, you can register it with the Secretary of State for $100 online. Registration puts the name on the state's records and gives you statutory rights to act against people who misuse it, and the Secretary of State will not accept a new business entity whose name is the same as, or deceptively similar to, a registered trade name.

In practice the person who asks most often for a trade name registration is your bank. If Elena Novak wants a business account for "Prairie Fire Pottery," the bank will want something that links the name to her. An LLC that trades under its own name does not need a trade name at all, but if "Novak Studio LLC" trades as "Prairie Fire Pottery," registering the trade name keeps the paperwork straight. Our DBA guide compares the rules in other states.

Omaha: occupation taxes and activity licences

Omaha licenses and taxes activities, not businesses. The main ones for a small business are these.

Restaurants and drinking places pay the city's restaurant occupation tax: 2.5% of gross receipts from food and beverages each month, filed with the city. Hotels pay a 5.5% hotel occupation tax per occupied room per night and must keep occupancy records for three years. Tobacco retailers need a city tobacco dealer's licence for each fixed place of sale, including vending machines and temporary sales, and pay a city tax. The city also licenses arborists, firearms dealers, sewer layers, taxicabs, water conditioning installers and travelling shows, each with its own fee.

The occupation tax interacts with sales tax in a way that trips up new restaurants. DOR's guidance says the occupation tax is part of the sales price, so you calculate sales tax on the price including the occupation tax, and the receipt must show the two taxes separately. You cannot simply add the rates together.

Liquor is a two-level process. Every business selling or serving alcohol needs a liquor licence. You file a statement of business activity with the City Clerk and apply through the Nebraska Liquor Control Commission; the City Council hears local applications on Tuesday afternoons; and before the licence is issued, the location must be inspected by the health or agriculture department, the Fire Marshal and the State Patrol. A Special Designated Liquor licence lets a licence holder or nonprofit serve alcohol at a specific event and place.

Lincoln: occupation taxes through the City Treasurer

Lincoln works the same way. The City Treasurer administers occupation taxes rather than a general licence. Restaurants, bars and related food service providers pay 2% of gross receipts from food and drink, including tips the seller makes a mandatory charge, by the 25th of the month or quarter after each period. Hotels and motels pay 4% on room rentals of up to 30 continuous days, and short-term rental hosts pay 4% as well, filed through the city's short-term rental compliance system. Car rental and telecommunications businesses pay their own occupation taxes, and businesses in two enhanced employment areas, around the Gateway–Shops at Lincoln and SouthPointe Pavilions, pay an extra tax on gross receipts.

Food businesses in Lincoln also deal with the local health department for inspections and permits, and everyone deals with zoning and building permits. If your business does not sell food, rooms, rentals or telecom services and is not in an enhanced employment area, you may have nothing to file with the City Treasurer at all.

Home-based businesses

Running a business from home changes very little at state level. Your home is the business location on Form 20, you charge the local rate for your address, and any trade or professional credential applies just as it would in a shop. What changes is zoning. Omaha, Lincoln and most other Nebraska cities allow home occupations within limits, usually on customer visits, non-resident employees, signs, parking and outdoor storage, and some activities are not allowed in residential zones at all. Call the city planning or zoning office before clients start coming to your door. If you plan to make food at home for sale, check the state's cottage food rules first, because a home kitchen generally cannot be used for a restaurant or catering business.

Worked examples

A pottery shop in Kearney. Elena forms "Novak Studio LLC" online for $100, publishes the notice of organization for three weeks in the local paper, and files the proof of publication for $25 online. She files Form 20 for a sales tax permit at no cost and registers the "Prairie Fire Pottery" trade name for $100. State fees: $225, plus whatever the newspaper charges for the notice.

A restaurant in Omaha's Old Market. On a $100 dinner, the restaurant owes the 2.5% occupation tax of $2.50, and sales tax at 7% applies to $102.50, which is $7.18. The customer pays $109.68, and the receipt shows the two taxes separately. Adding a bar means a liquor licence through the City Clerk, City Council and the state commission, after the inspections.

A one-person handyman business in Lincoln. Marcus runs a single-member LLC with no employees and pays a helper about $2,000 a year. He must still register with the Department of Labor as a contractor, but because he pays no more than $3,000 a year to others, the $25 fee is waived. If he later hires an employee, he will need to pay the fee at renewal and file a workers' compensation certificate. Electrical work still needs a licensed electrician.

Common mistakes and how to fix them

The first mistake is paying a website for a permit that is free. DOR does not charge for sales tax permits, and its warning about sites that "sell" them exists because people keep paying. File Form 20 yourself.

The second is opening a second location on the first permit. Each retail location needs its own permit. If you add a market stall or a second shop, file for another permit before you start selling there.

The third is a contractor letting workers' compensation lapse. The Department of Labor removes contractors whose certificate has expired from its registered list, which can cost you work with general contractors who check the list. Ask your insurer to send the renewed certificate as soon as the policy renews.

The fourth is adding occupation tax and sales tax rates together. In Omaha and Lincoln the occupation tax goes into the price first and sales tax is charged on the total. Set your point-of-sale system up that way and show the two separately on receipts.

The fifth is assuming no city licence means no city rules. Even in Omaha, a restaurant needs inspections, a bar needs a liquor licence, and every business needs zoning approval and building permits for its premises.
