Arkansas is one of the cheapest states to form an LLC and one of the more expensive to keep one. The certificate of organization costs $45 online, but from the following year every LLC pays a flat $150 franchise tax with its annual report, due May 1, whether it earned anything or not. Get the yearly report wrong and penalties, interest and a block on future filings follow. This guide takes a first-time founder through each step in order: the name, the registered agent, the filing, the paperwork that follows, the franchise tax, taxes, closing down properly and a worked budget. Every fee was checked against the Arkansas Secretary of State's current forms and fee schedules in October 2026.
Quick answer
To start an LLC in Arkansas, file a certificate of organization (Form LL-01) with the Arkansas Secretary of State and pay $45 online ($50 on paper). Name a registered agent at an Arkansas street address and complete the franchise tax contact form. From the next year, file the annual franchise tax report and pay $150 by May 1.
The name must include LLC, L.L.C., LC, L.C., "limited liability company" or "limited company"
Registered agent: a physical Arkansas address, no P.O. box
Franchise tax: $150 a year, due May 1, no extensions
Late: $25 penalty plus interest of about 10% a year, and no other filings until paid
The tax keeps accruing until you formally dissolve the LLC
What an Arkansas LLC is and who should form one
An Arkansas limited liability company is a separate legal entity formed by filing a certificate of organization with the Secretary of State's Business and Commercial Services Division in Little Rock. The company, not its owners, owns its assets and owes its debts, so a business creditor generally cannot reach your house or personal savings. That protection holds only if you run the LLC as a genuinely separate business, with its own bank account, contracts in its own name and clean records.
Arkansas lets the members run the company themselves or appoint managers, and members can take part in management without losing their limited liability. For federal tax, a one-owner LLC is a disregarded entity and a multi-owner LLC is a partnership unless it elects corporate treatment. The Secretary of State's guide notes that LLCs also file informational returns with the IRS and the Arkansas income tax division.
An LLC suits most small Arkansas businesses: contractors, poultry and cattle operations, trucking companies, consultants, online sellers, salons and landlords. You do not need to live in Arkansas or be a US citizen, and one person can form an LLC alone. The yearly franchise tax is the main thing to weigh. If you are testing an idea with little income, a sole proprietorship avoids the $150 charge; once you have real customers, contracts or employees, the liability protection usually justifies it.

Step 1: Choose a name that meets the Arkansas rules
The name must contain "Limited Liability Company", "Limited Company", or one of the abbreviations "L.L.C.", "L.C.", "LLC" or "LC". It must be distinguishable from every other business entity on the Secretary of State's records. Arkansas treats a name as not distinguishable if the only difference is a suffix, "a" or "the", "and" versus "&", singular versus plural, or punctuation, so "Ozark Roofing LLC" and "The Ozark Roofing, L.L.C." count as the same name.
Search the Secretary of State's business entity database before you buy signs or a domain, and use our LLC name checker to test variations. The Secretary of State is clear that a search result is preliminary and does not guarantee the name until the filing is approved. If you need time, reserve the name for 120 days for $22.50 online; LLC name reservations can be renewed once. Approval of a name by the state does not give you trademark rights, so check federal and state trademarks too if the brand matters.
Step 2: Appoint a registered agent
Every Arkansas LLC must name a registered agent to receive lawsuits and official notices. The agent's address must be a street address in Arkansas where the agent is actually located; a post office box or mail drop is rejected. If the LLC has no office in Arkansas, the agent's address can also serve as the principal office address on the state's records.
You can be your own agent if you live or work in Arkansas. Owners who live elsewhere, or who want to keep their home off the public record, usually pay a commercial registered agent. Commercial agents register with the Secretary of State under the Model Registered Agents Act of 2007, which lets you list them by name only. Expect around $50 to $300 a year (an estimate based on published price lists of national agent services, not an official figure). Changing the agent later is a free filing.
One trap: changing your registered agent does not change the franchise tax contact information or the principal office address. Each is updated separately.

Step 3: File the certificate of organization
The certificate of organization, Form LL-01, is short. It gives the LLC's name, the registered agent's name and Arkansas street address, the principal office address and the organizers' signatures. You file it online through the Secretary of State's website for $45, or on paper for $50 by mail or in person at the Victory Building in Little Rock.
The franchise tax contact form. File the free franchise tax registration form with the certificate. It tells the state where to send the yearly franchise tax report. The Secretary of State warns that if this form is not completed, the report may not reach you, the LLC can slide into revoked status, and the franchise tax keeps accruing anyway. Use an address and email you will still check in two years' time.
Processing time. Online filings are normally updated within 48 hours, and the filed documents come back by email. Mailed documents are normally filed and returned within 72 hours of arrival, and walk-in filings submitted before 3 p.m. can be processed while you wait.
Filing an Arkansas LLC online
- 1
Check the name
Search the business entity database and add LLC, L.L.C., LC, L.C. or the full words.
- 2
Pick the registered agent
Yourself, another person or a commercial agent with an Arkansas street address.
- 3
File Form LL-01
Pay $45 online and save the filed certificate when it arrives by email.
- 4
Complete the franchise tax contact form
Give a mailing address, phone and email for the yearly franchise tax notice.
Tip: Pick an address that will not change when you move house or hire a new accountant.
Why filings get rejected. The usual reasons are a name that is not distinguishable from one on file, a missing LLC ending, a P.O. box as the agent's address, missing signatures, and, on paper filings, a wrong fee or a check older than 60 days. Organizers must generally be adults; a 16- or 17-year-old needs a person aged 21 or older to act as organizer on their behalf. Fix the issue and resubmit; the LLC does not exist until the filing is approved.
Step 4: EIN, operating agreement, bank account and tax registration
EIN. Apply for an employer identification number from the IRS once the certificate is approved. It costs Free ($0), and the online application issues the number at the end of the session. Our EIN application guide walks through each screen. The franchise tax report asks for it.
Operating agreement. Arkansas does not ask you to file one, but you should sign one. It sets ownership shares, who can sign for the company, how profits are split and what happens when a member leaves. Single-member LLCs need one too, because banks ask for it and courts look at it when deciding whether the company is genuinely separate from you.
Bank account. Open a business account in the LLC's exact legal name using the filed certificate, the EIN letter and the operating agreement. Pay business costs from that account only; our guide on how to pay yourself from an LLC explains draws and salary.
Department of Finance and Administration. If you sell taxable goods or services, register for a sales tax permit with the Department of Finance and Administration before your first sale; the permit costs $50. If you hire, register for withholding with DFA and for unemployment insurance with the state's workforce agency.
Beneficial ownership reporting. Since FinCEN's March 2025 interim final rule, companies formed in the United States no longer file beneficial ownership information reports, so a new Arkansas LLC has no BOI filing (current position: Not required for US-formed companies).

The annual franchise tax report
Arkansas does not have a separate annual report for LLCs. Instead, every LLC files an annual franchise tax report with the Secretary of State and pays the franchise tax at the same time. For LLCs the tax is flat: $150, whatever the company's size, income or capital, as long as the report is filed on time. The obligation comes from A.C.A. 26-54-104, and it applies to every LLC, active or not.
The report is due on or before May 1. The "reporting year" is the year the report is due, and the "tax year" is the calendar year that ended the previous December 31. In practice, an LLC formed at any point in 2026 files its first report by May 1 next year. The state mails or emails notices to the franchise tax contact, but the instructions put the responsibility on you: if you have not received a form by March 20, ask for one or file online.
The report confirms the business name and address, the tax contact, the registered agent, the principal office in Arkansas, whether the LLC is managed by members or managers and their names, the tax preparer if any, the federal EIN and the nature of the business. A member, manager or the tax preparer signs it under penalty of perjury.

No extensions. Acts 1046 and 1140 of 1991 removed the option to request an extension, so the May 1 date is firm. To be on time, the report and payment must reach the Secretary of State by close of business on May 1, or carry a US Postal Service postmark no later than midnight on May 1. Private postage meter dates do not count.
Late penalties and interest. If you miss the date, the 2026 report form sets out the calculation: add a $25 late penalty to the $150 tax, then multiply the total by 0.000274 for each day late, which is 0.0274% a day or about 10% a year. A report filed 60 days late therefore costs $175 plus about $2.88 interest, roughly $177.88. Underpayments are billed to the company.
What else happens. An LLC behind on franchise tax cannot make any other filing with the Business and Commercial Services Division until it pays, so you cannot amend the certificate, change the name or register a fictitious name. Persistent non-payment can lead to revocation of the LLC's authority to do business, and the tax continues to accrue each year even for a revoked LLC until it is formally dissolved.
Fictitious names, licences and local registrations
Fictitious names. If your LLC trades under a name other than its exact legal name, register a fictitious name with the Secretary of State using Form DN-18. It costs $22.50 online or $25 on paper. Remember that an LLC behind on franchise tax cannot make this filing until it pays.
Sales tax. Arkansas charges 6.5% state sales tax, and cities and counties add their own taxes, taking Little Rock to 8.625%. Groceries carry a 0% state rate, though local taxes still apply. Our Arkansas sales tax guide covers rates, the permit, filing frequency and the remote seller rules.
Licences and permits. Arkansas has no general statewide business licence. Cities issue business or privilege licences and zoning approvals, and state boards license trades and professions such as contractors, cosmetology, real estate and health care. Check with your city hall and the relevant board before opening.

How Arkansas LLC owners are taxed
The franchise tax is a fee for the privilege of being an LLC; it is not an income tax, and the LLC's profit is taxed separately. A single-member LLC owned by a person is ignored for income tax, so the profit goes on the owner's federal Schedule C and Arkansas individual return. Arkansas cut its top individual income tax rate to 3.7% for 2026, down from 3.9%, in a law that applies back to January 1, 2026, as reported by EY and Thomson Reuters. Owners also pay federal self-employment tax on the profit.
A multi-member LLC taxed as a partnership files an Arkansas partnership return and gives each member a share of income. Members who live outside Arkansas still owe Arkansas tax on their Arkansas-source share. An LLC can also elect S corporation treatment, which lets working owners split income between a reasonable salary and distributions to reduce self-employment tax, at the cost of running payroll. Read LLC vs S corp for the federal side.
What it costs: a worked first-year budget
The table shows three realistic Arkansas LLCs. State fees come from the Secretary of State's current fee pages and the 2026 franchise tax form. The registered agent line is a market estimate.
| Cost item | Fayetteville web designer | Little Rock two-owner food truck | Texas owner, Arkansas rentals |
|---|---|---|---|
| Certificate of organization | $45 (online) | $45 (online) | $50 (paper) |
| Fictitious name | none | $22.50 (online) | none |
| Commercial registered agent (estimate) | $0 (own office) | $0 (one owner) | $125 |
| EIN | Free ($0) | Free ($0) | Free ($0) |
| First-year total | $45 | $67.50 | $175 |
| Franchise tax every year from next year | $150 | $150 | $150 plus agent |
What the table leaves out. Insurance, an accountant, the $50 sales tax permit, city licences and health permits sit on top. The food truck also needs a health department permit and a mobile vending permit from the city.
Over five years. An LLC formed online in 2026 pays $45 to form plus four franchise tax payments by 2030, or $645 in state charges. That is far more than Missouri, which charges $45 online with no annual report at all, and more than Oklahoma, at $100 plus a $25 yearly certificate. It is still well below Tennessee, where the filing alone starts at $300.
Worked examples
A Fayetteville web designer. Hannah files online for $45 in June 2026, names herself as registered agent at her home office, completes the franchise tax contact form with her business email, and gets her EIN that afternoon. Her first franchise tax report is due by May 1 next year. She sets a reminder for April 1 every year and pays the $150 online.
A Little Rock food truck run by two friends. Andre and Kim form "Rock Town Kitchen LLC" and trade as "Rock Town Tacos", so they register a fictitious name online. They register for sales tax with DFA, collect the combined Little Rock rate on every sale, and file an Arkansas partnership return each spring with a share of income for each owner.
A Texas owner with Arkansas rentals. Ray lives in Texarkana, Texas and owns three rental houses across the line in Arkansas. He forms an Arkansas LLC on paper, pays a commercial registered agent, and files an Arkansas nonresident return for his rental profit. When he sells the last house in 2029, he files a statement of dissolution with a final franchise tax report, rather than leaving the LLC to accrue tax for years.
Arkansas LLC launch checklist
0/9Common mistakes and how to fix them
Thinking the LLC is "inactive" so nothing is owed. The $150 tax applies every year until the LLC is dissolved. Dissolve properly if you stop.
Waiting for a form that never comes. If the tax contact address is out of date, the notice goes nowhere. Update it online with the free tax contact change and file by May 1 regardless.
Counting on an extension. Arkansas does not grant one. Even a few days late adds the $25 penalty and interest.
Changing the agent and assuming everything updated. The registered agent, principal office and tax contact are three separate records.
Paying look-alike mailers. Letters offering to file your "annual report" for an extra fee come from private companies. File directly with the Secretary of State.

Frequently asked questions
The Secretary of State charges $45 to file a certificate of organization online or $50 on paper. From the following year, every LLC pays a flat $150 franchise tax with its annual report, due May 1. The EIN from the IRS is Free ($0). A fictitious name, if you trade under another name, costs $22.50 online.
The annual franchise tax report and payment are due on or before May 1 each year, starting the year after you form. The report covers the year ending the previous December 31. Arkansas does not grant extensions, and a postmark from the US Postal Service by midnight on May 1 counts as on time; postage meter dates do not.
A late report adds a $25 penalty to the $150 tax, and interest then runs on the total at 0.0274% a day, about 10% a year. While taxes are unpaid, the LLC cannot make other filings with the Secretary of State, and it can eventually lose its authority to do business. The tax keeps accruing until the LLC is formally dissolved.
Yes. Every LLC must name a registered agent with a physical street address in Arkansas where the agent is located. A post office box or mail drop is not accepted. You can act as your own agent if you have an Arkansas address, or use a commercial registered agent. Changing the agent later is a free filing.
File a statement of dissolution (Form LL-04) with the Secretary of State together with a final franchise tax report and the $150 tax, and make sure all earlier taxes, penalties and interest are paid. Simply stopping trading does not stop the tax; it keeps accruing every year until the LLC is formally dissolved.
Organizers usually must be at least 18. The Secretary of State's guide explains that a person aged 16 or 17 who wants to form a corporation or LLC needs someone aged 21 or older to act as organizer on their behalf, under A.C.A. 4-27-120.
