Oklahoma keeps LLC paperwork simple. You file one page of articles of organization with the Secretary of State for $100, and each year after that you file a short annual certificate for $25. There is no franchise tax for LLCs. The two details that trip people up are timing and email: the certificate is due on the anniversary of your filing date rather than a fixed calendar date, and the reminder goes only to the email address on record. This guide walks a first-time founder through each step in order, from the name rules to taxes and a worked first-year budget. Every fee was checked against the Oklahoma Secretary of State's forms, the Oklahoma Statutes and Oklahoma Tax Commission publications in October 2026.
Quick answer
To start an LLC in Oklahoma, file articles of organization with the Oklahoma Secretary of State and pay $100 (plus 4% if you pay by card). Name a registered agent at an Oklahoma street address. Then file the $25 annual certificate on the anniversary of your filing date every year.
The name must include "limited liability company", "limited company", "LLC", "LC", "L.L.C." or "L.C."
The LLC itself, an Oklahoma resident or a qualified company can be the registered agent
Annual certificate: $25, due on the anniversary date; 60 days late means loss of good standing
LLCs are exempt from Oklahoma franchise tax
From November 1, 2026, the articles must include the registered agent's email
What an Oklahoma LLC is and who should form one
An Oklahoma limited liability company is formed under the Oklahoma Limited Liability Company Act, which starts at Title 18, Section 2000 of the Oklahoma Statutes. Like an LLC anywhere, it separates the business from you: the company's debts, contracts and lawsuits belong to the company, so a creditor of the business generally cannot reach your home or personal savings. That separation holds only if you treat the LLC as a separate business, with its own bank account, contracts in its own name and clean records.
The Oklahoma Secretary of State's business filing office in Oklahoma City keeps the register. You search names, file articles, file annual certificates and order certificates of good standing through its online business filing system, by mail, or in person. Tax registration is separate and runs through the Oklahoma Tax Commission's OkTAP system.
For federal tax, a one-owner LLC is a disregarded entity and a multi-owner LLC is a partnership, unless you elect to be taxed as a corporation. Oklahoma follows the federal classification for income tax, and the Tax Commission says LLCs are statutorily exempt from franchise tax. That makes the yearly state cost of an Oklahoma LLC low and predictable.
An LLC suits most small Oklahoma businesses: oilfield service contractors, consultants, online sellers, salons, food trucks, landlords, ranches and small manufacturers. You do not need to live in Oklahoma or be a US citizen to own one, and one person can form it alone. Licensed professionals such as doctors, lawyers and accountants use a professional LLC with its own form, so check with your licensing board first. If the business really operates in another state, forming in Oklahoma does not avoid that state's rules; you would register there as a foreign LLC too.

Step 1: Choose a name that meets the Oklahoma rules
The Secretary of State's filing procedures set the name rules under Title 18, Section 2008. The name must contain "limited liability company" or "limited company", or one of the abbreviations "LLC", "LC", "L.L.C." or "L.C." You may shorten "limited" to "Ltd." and "company" to "Co."
The name must also be distinguishable on the Secretary of State's records from existing LLCs, limited partnerships, trade names, fictitious names and reserved names. Oklahoma adds a twist: it must also be distinguishable from corporations that existed at any time in the preceding three years. A name freed up by a corporation dissolved last year may still be blocked. Search the Secretary of State's online records before you pay for signs or a domain, and use our LLC name checker to test variations quickly. You can also call the Secretary of State to ask about availability.
If you are not ready to file, you can reserve a name for 60 days for $10, and extend it for the same fee. Most founders skip the reservation and file the articles straight away, since the articles secure the name on their own.
Trading under another name. If your LLC will trade as "Red Dirt Roofing" rather than "Red Dirt Roofing Contractors LLC", file a trade name report with the Secretary of State. The fee is $25. Oklahoma does not require newspaper publication of a trade name. Our DBA guide explains how assumed names work across states.
Step 2: Choose a registered agent
Every Oklahoma LLC must continuously keep a registered agent and a registered office in Oklahoma. The agent receives lawsuits and official notices for the company. Under Title 18, Section 2010, the agent can be the LLC itself, an individual who lives in Oklahoma, or a domestic or qualified foreign corporation, LLC or limited partnership. The option to name the LLC itself is uncommon among states and works well when the business has a staffed Oklahoma office.
Whoever you choose must keep a business office at the registered office address that is open during regular business hours to accept service of process. The registered office must be a street address; a post office box is rejected. Owners who live outside Oklahoma, work from job sites or want to keep a home address off the public record usually pay a commercial registered agent, typically around $50 to $300 a year (an estimate based on published price lists of national agent services, not an official figure).
If you change the agent or the registered office later, file the change with the Secretary of State for $25. From November 1, 2026, Senate Bill 1641 also requires the registered agent's email address in the articles of organization, so have it ready if you file on or after that date.

Step 3: File the articles of organization
The articles of organization bring the LLC into existence. Oklahoma's form asks for five items: the LLC's name; the street address of its principal place of business, which can be anywhere, inside or outside Oklahoma, but cannot be a P.O. box; the email address of the business's primary contact; the registered agent's name and Oklahoma street address; and the term of existence, which can be perpetual, a set number of years or a future expiry date. At least one person signs. The signer does not need to be a member.
The email field matters more than it looks. The Secretary of State sends the annual certificate notice only to the LLC's last known email address on record. If you list a formation service's inbox or an address you rarely check, you may never see the reminder.
You can file online through the Secretary of State's business filing system, by mail, or in person in Oklahoma City. The fee is $100 by any route. Card payments, online or in person, carry a 4% service charge, so a card-paid filing costs about $104. Filing in person for same-day service costs an extra $25 per document. Checks and money orders are payable to the Oklahoma Secretary of State, and you can attach a request to receive the filed documents by email instead of post.
Filing Oklahoma articles of organization online
- 1
Check the name
Search the Secretary of State's records, including corporations that existed in the last three years.
- 2
Pick the registered agent
Name the LLC itself, an Oklahoma resident or a qualified company with a street address.
- 3
Choose a reliable contact email
Annual certificate notices go only to this address.
- 4
Set the term
Most owners choose perpetual.
- 5
Pay and file
Pay $100 plus the 4% card charge and download the filed articles.
Tip: Write down the filing date; it becomes the due date of every annual certificate.
Why filings get rejected. The usual reasons are a name that is not distinguishable from an existing or recently dissolved entity, a missing "LLC" ending, a P.O. box for the principal place of business or registered office, a registered agent who does not qualify, and a missing signature. If the filing is rejected, fix the issue and resubmit. Until the articles are accepted the LLC does not exist, so do not sign a lease or open an account in its name before then.
Step 4: EIN, operating agreement, bank account and tax registration
EIN. Apply for an employer identification number from the IRS once the articles are filed. It costs Free ($0), and the online application gives you the number at the end of the session. Our EIN application guide walks through each screen.
Operating agreement. Oklahoma does not ask you to file an operating agreement, but you should have one. It sets how profit is shared, who can sign contracts, how a member exits and what happens on death or divorce; without it, the statute's default rules apply. A single-member LLC needs one too, because banks ask for it and courts look at it when deciding whether the company is genuinely separate from you.
Bank account. Open a business account in the LLC's name using the filed articles, the EIN confirmation and the operating agreement. Pay business expenses only from that account and pay yourself by transfer; our guide on how to pay yourself from an LLC explains draws and salary.
Oklahoma Tax Commission. If you sell taxable goods or services, register on OkTAP for a sales tax permit, which costs $20 for the first location and $10 for each additional one. If you hire, register for withholding with the Tax Commission and for unemployment insurance with the Oklahoma Employment Security Commission.
Beneficial ownership reporting. Since FinCEN's March 2025 interim final rule, companies formed in the United States no longer file beneficial ownership information reports, so a new Oklahoma LLC has no BOI filing (current position: Not required for US-formed companies).
The annual certificate and keeping the LLC in good standing
Under Title 18, Section 2055.2, every Oklahoma LLC files an annual certificate with the Secretary of State and pays $25. The certificate confirms that the LLC is an active business and gives its principal place of business and email address. It is due on the anniversary of the date the articles were filed. An LLC filed on March 3, 2026 files its first certificate by March 3 of next year, and every March 3 after that.
The Secretary of State must send a notice at least 60 days before the anniversary, but only by email to the address on record. Filing online takes a few minutes: you look up the LLC by filing number, confirm or update the address and email, and pay. You get an email when it has been processed, and the filed copy sits in your online briefcase.

Unfiled certificate means the LLC is no longer in good standing
If the certificate and fee are not filed within 60 days after the anniversary, the LLC ceases to be in good standing. The consequences are practical rather than dramatic, but they bite. The Secretary of State will not accept any other filing for the LLC, such as an amendment, and will not issue a certificate of good standing, which banks, lenders and public agencies ask for. The LLC also cannot bring a lawsuit in an Oklahoma court, for example to collect an unpaid invoice, until it is reinstated, and the same bar applies to anyone who later buys the company's claims.
Reinstatement is simple. File the Application for Reinstatement, which has no fee of its own, with every missed annual certificate and its $25 fee attached. A manager signs the application. If the LLC missed two years, the cost is two certificates, or $50. Waiting only adds to the bill, because each missed anniversary adds another certificate and fee, and the LLC cannot use Oklahoma courts while it is out of good standing.
Other filings you may need later: an amendment to the articles ($100) if you change the name or term, and a certificate of good standing ($20) when a bank, lender or government buyer wants proof the LLC is active. Our certificate of good standing guide explains how these certificates work.
Licences and local registrations after you form
Filing with the Secretary of State creates the LLC. It does not give you permission to trade, and the information is not passed on automatically to every agency that regulates your work.
Sales tax. Oklahoma's state sales tax rate is 4.5%, and city and county taxes push combined rates to 8.625% in Oklahoma City and 8.517% in Tulsa. Groceries have carried a 0% state rate since August 2024, although local taxes still apply. Our Oklahoma sales tax guide covers rates, the permit, filing frequency and local codes.
City licences and state boards. Oklahoma has no general state business licence. Cities license particular activities, such as food service, alcohol and some trades, and require zoning approval for certain premises. State boards and agencies license professions and trades such as construction trades, cosmetology, real estate and health care. Check with your city clerk and the relevant board before opening.
Employees. Hiring staff means withholding registration with the Tax Commission, unemployment insurance with the Employment Security Commission and workers' compensation insurance. Our guide to hiring your first employee covers the federal steps.

How Oklahoma LLC owners are taxed
A single-member LLC owned by a person is ignored for income tax. Its profit goes on the owner's federal Schedule C and the Oklahoma individual return. House Bill 2764, passed in 2025, reshaped Oklahoma's brackets for tax year 2026: a single filer pays 0% on the first $3,750 of taxable income, then 2.5% and 3.5% bands, and the top rate of 4.5% on taxable income above $7,200. Married couples filing jointly have brackets twice as wide. The law also allows further 0.25-point cuts when the State Board of Equalization certifies that revenue has grown enough, so check the rates each year.

A multi-member LLC taxed as a partnership files an Oklahoma partnership return each year and gives each member a share of income to report on their own return. If any member lives outside Oklahoma, ask an accountant about nonresident filing and withholding before the first year-end. An LLC can also elect S corporation treatment, which lets working owners split income between a reasonable salary and distributions to cut self-employment tax, at the cost of running payroll. Read LLC vs S corp for the federal side.
Because LLCs are exempt from franchise tax, the entity itself has no yearly state tax bill just for existing. If you read an older guide that says a corporation would owe franchise tax on its capital, that is out of date: under House Bill 1039X, tax year 2023 was the last year Oklahoma required franchise tax returns from corporations, so from 2024 neither structure pays it.
What it costs: a worked first-year budget
The table shows three realistic Oklahoma LLCs. State fees come from the Secretary of State's forms and fee schedule and the Tax Commission's sales tax permit fee. The registered agent line is a market estimate.
| Cost item | Norman consultant | Tulsa two-owner bakery | Texas owner, Oklahoma jobs |
|---|---|---|---|
| Articles of organization | $100 (check by mail) | $100 + 4% card charge | $100 + 4% card charge |
| Name reservation | — | $10 | — |
| Trade name report | — | $25 | — |

| Commercial registered agent (estimate) | $0 (own office) | $0 (own shop) | $125 |
| EIN | Free ($0) | Free ($0) | Free ($0) |
| First-year total | $100 | $159 | $229 |
| State fee every year from year two | $25 | $25 | $25 plus agent |
What the table leaves out. Insurance, an accountant, city licences and food or trade permits sit on top. A bakery also needs health department approval before it opens.
Over five years. An Oklahoma LLC costs about $100 to form plus $25 a year, roughly $200 in state charges over five years. Compare that with Texas, where the certificate of formation alone is $300, and Missouri, which charges $45 online to form and has no annual report.
Worked examples
A Norman marketing consultant. Aisha mails her articles with a $100 check to avoid the card charge, names herself as registered agent at her home office, and lists the email she uses every day. Her articles are filed on June 9, 2026, so her first annual certificate is due June 9 of next year. She sets a calendar reminder for mid-April, in case the Secretary of State's notice lands in spam. Her consulting is not a taxable sale of goods, so she skips the sales tax permit after checking the Tax Commission's guidance.
A two-owner bakery in Tulsa. Luis and Mei reserve "Brookside Bread Company LLC" for $10 while they sign a lease, then file online. They trade as "Brookside Bread", so they file a $25 trade name report. They register on OkTAP for a $20 sales tax permit, apply Tulsa's combined rate to taxable sales, and file a partnership return each year with a share of income for each owner.
A Texas roofer working in Oklahoma. Cody lives in Wichita Falls, Texas and takes storm-repair jobs around Lawton. Rather than register his Texas company in Oklahoma as a foreign LLC for $300, he forms a separate Oklahoma LLC for $100 and pays a commercial agent for a registered office. Before he starts, he checks the Oklahoma licensing rules for roofing contractors and registers for withholding before hiring a local crew.

0/8Common mistakes and how to fix them
Waiting for a January deadline. Oklahoma's certificate is due on your own anniversary date, not at the start or end of the calendar year. Write the filing date down the day the articles come back.
Letting the contact email go stale. The notice goes only to the email on record. If that inbox belongs to a former partner or a formation service you no longer use, reminders vanish. Update it on each annual certificate.
Ignoring a lapse until a bank asks. A lapsed LLC cannot get a certificate of good standing or sue in an Oklahoma court. Reinstate as soon as you notice by filing every missed certificate with the free application.
Choosing a name a dead corporation still blocks. Oklahoma checks corporations that existed in the last three years. If your preferred name is rejected for that reason, pick a variation rather than waiting.
Paying look-alike mailers. Letters offering to file your "annual report" or sell a certificate for $70 to $200 come from private companies. The certificate costs $25 directly on the Secretary of State's website.

Frequently asked questions
The Secretary of State charges $100 to file articles of organization, plus a 4% service charge if you pay by card. Filing in person for same-day service adds $25. After that, the annual certificate costs $25 a year. The EIN is Free ($0), and a sales tax permit, if you need one, is $20.
On the anniversary of the date your articles of organization were filed, every year. An LLC filed on May 12 files its certificate by May 12 each year, starting the following year. The fee is $25. The Secretary of State emails a notice at least 60 days before the anniversary, but only to the email address on file, so keep it current.
If the certificate and fee are not filed within 60 days after the anniversary date, the LLC stops being in good standing. The Secretary of State will not accept other filings or issue a certificate of good standing, and the LLC cannot bring a lawsuit in an Oklahoma court until it is reinstated. Reinstatement means filing every missed certificate and fee with the free reinstatement application.
No. The Oklahoma Tax Commission says LLCs are statutorily exempt from franchise tax, and after House Bill 1039X the franchise tax ended for corporations too: tax year 2023 was the last year returns were required. A single-member LLC owned by a person reports profit on the owner's Oklahoma return, and a multi-member LLC taxed as a partnership files an Oklahoma partnership return, with members paying tax on their shares.
Yes. Oklahoma is unusual in allowing the LLC itself to act as its registered agent, alongside an Oklahoma resident or a domestic or qualified foreign company. Whoever you name must keep a business office at the registered office street address, open during regular business hours to accept legal papers. A post office box is not accepted.
Senate Bill 1641, signed on May 7, 2026, takes effect on November 1, 2026. From then, articles of organization must give the registered agent's email address as well as the name and street address, and foreign LLC registrations must list email addresses too. Expect the Secretary of State's forms and online screens to add the field.
