Massachusetts charges more than any other state to form and keep an LLC. The certificate of organization costs $500, and the annual report costs another $500 every year, whatever the size of the business. That price makes the first decision more important than in most states: is an LLC worth it for your business, and if so, how do you get the filing right the first time? This guide walks a first-time founder through the certificate of organization line by line, explains the resident agent and town business certificate rules, covers taxes, and ends with a worked first-year and five-year budget. Fees were checked against the Secretary of the Commonwealth's current forms in October 2026.

Quick answer

To start an LLC in Massachusetts, file a certificate of organization with the Secretary of the Commonwealth's Corporations Division and pay $500. Name a resident agent at a Massachusetts street address who signs a consent, and list a Massachusetts office where the LLC's records are kept. Then file a $500 annual report every year around the anniversary of your filing.

What a Massachusetts LLC is and who should form one

A Massachusetts limited liability company is formed under chapter 156C of the General Laws, the Massachusetts Limited Liability Company Act. It does the same job as an LLC anywhere: the company's debts and lawsuits stay with the company, so a customer's claim or a supplier's unpaid invoice does not reach your house or savings just because you own the business. That protection depends on treating the LLC as separate, with its own bank account, contracts in its name and clear records.

The Corporations Division of the Secretary of the Commonwealth keeps the register. You search names, file the certificate, file annual reports and order certificates of good standing through the Division. Private companies that send official-looking letters about "annual compliance" are not the Commonwealth, and they charge more than the statutory fee.

Because of the cost, think about whether an LLC fits. A sole proprietor in Massachusetts pays no state filing fee at all, only a town business certificate if trading under a name. The LLC's $500 a year buys liability protection, a business that can take on partners cleanly, and credibility with clients, landlords and banks. For a contractor, a landlord, a shop with staff or any business that signs leases and contracts, that protection is usually worth the fee. For a side business earning a few thousand dollars with little risk, a well-insured sole proprietorship may make more sense for now. Our LLC vs sole proprietorship guide sets out the trade-offs.

For federal tax, a one-member LLC is a disregarded entity and a multi-member LLC is a partnership unless you elect corporate treatment. You do not need to live in Massachusetts or be a US citizen to form one, but you need a resident agent and a Massachusetts office for records. Licensed professionals such as physicians, lawyers and accountants should check the professional entity rules for their field before filing.

Step 1: Choose a name

The LLC's name goes on the first line of the certificate exactly as you want it to appear on the public record. Include an LLC designation such as "LLC", "L.L.C." or "Limited Liability Company" so customers and the Division can see what kind of entity it is, and make sure the name is not the same as, or confusingly similar to, a business already on the Corporations Division's records. Search the Division's business entity database before you order signs or register a domain, and try variations with our LLC name checker.

If you need time before filing, you can reserve a name with the Corporations Division for a fee. Most founders skip the reservation and file the certificate as soon as the name search is clear, because the certificate itself secures the name.

Trading under a different name. If the LLC will trade as "North Shore Coffee" while its legal name is "Harbor Beverage Group LLC", you file a business certificate (often called a DBA certificate) with the clerk of each city or town where you trade under that name. Clerks set their own fees and renewal periods. The certificate goes to the town, not the state, which is where many first-time owners get confused. Our DBA guide explains how trade names work across states.

Step 2: Appoint a resident agent

Massachusetts uses the term resident agent for what other states call a registered agent. The resident agent receives lawsuits and official notices for the LLC, and their name and Massachusetts street address go on the certificate. The agent must agree to the appointment: either the agent signs the consent printed on the certificate, or you attach a signed consent. A filing without the consent can be rejected.

You can serve as your own agent if you have a Massachusetts street address where you are reliably available, or you can name a business partner, an employee, or a company that provides agent services. Owners who live out of state, travel, or do not want a home address on the public record usually hire a commercial agent, typically around $50 to $300 a year; that range is an estimate based on published price lists of national agent services, not an official figure.

Keep the agent current. If the agent moves or stops acting, file a change with the Corporations Division promptly, because notices and service of process go to the address on record. An LLC that misses a lawsuit because its agent left can end up with a default judgment it never saw coming.

Step 3: Complete and file the certificate of organization

The certificate of organization is a short form, but each line has a purpose. Getting it right first time matters more in Massachusetts than elsewhere, because a correction later is another filing and another fee.

The certificate of organization, line by line

  1. 1

    Name and federal ID number

Enter the exact name. The form has a space for the federal identification number; if you do not have an EIN yet, you can usually leave it blank and add it later.

  2. 2

    Massachusetts office for records

Give the street address in Massachusetts where the LLC's records will be kept. A P.O. box does not meet this requirement.

  3. 3

    General character of the business

A short description, such as 'retail sale of home goods' or 'consulting services'. Keep it broad enough to cover how the business might grow.

Tip: Being too narrow can force an amendment later, which costs another filing fee.

  4. 4

    Latest date of dissolution

Leave blank unless the LLC is meant to end on a set date, such as a single-project venture.

  5. 5

    Resident agent and consent

Name and Massachusetts street address of the agent, plus the agent's signed consent.

  6. 6

    Managers and authorised signers

List any managers. If there are no managers, name at least one person authorised to sign documents filed with the Corporations Division.

  7. 7

    Real estate signers

Name anyone authorised to sign deeds and other recordable instruments affecting real property. Fill this in carefully if the LLC will own property.

  8. 8

    Sign and pay

At least one authorised signatory signs. The filing fee is $500.

You can file online through the Corporations Division's online filing system, which is the quickest route, or mail the paper form to the Corporations Division at One Ashburton Place, Room 1717, Boston. After the Division accepts the filing, a copy is posted on the Secretary of the Commonwealth's website. If it is rejected, the rejection sheet and document appear in the rejected queue, so check there if you have not heard back.

Why filings get rejected. The usual problems are a name too close to an existing business, a missing resident agent consent, no Massachusetts street address for records, no authorised signer listed when there are no managers, and an unsigned form. Fix the item named on the rejection sheet and resubmit. The LLC does not exist until the certificate is accepted, so do not sign a lease or open a bank account in its name before then.

Why the real estate line matters. Line 8 tells registries of deeds who can sign for the LLC. If you plan to buy property through the LLC and leave this blank, a closing attorney may need you to amend the certificate before the purchase, which delays the deal and costs another filing.

Step 4: EIN, operating agreement and bank account

EIN. Apply for an employer identification number from the IRS once the certificate is accepted. It costs Free ($0), and the online application issues the number at the end of the session. You need it for the bank, for hiring and for MassTaxConnect. Our EIN application guide walks through each screen.

Operating agreement. Massachusetts does not ask you to file one, but the LLC Act lets the agreement set most of the rules: how profit is shared, who can sign, how a member leaves and what happens on death or divorce. Without one, the Act's default rules apply. A single-member LLC needs a short agreement too, because banks ask for it and courts look at it when deciding whether the company is genuinely separate from you.

Bank account. Open a business account in the LLC's name with the filed certificate, the EIN letter and the operating agreement. Keep personal spending out of it, and pay yourself by transfer; our guide on how to pay yourself from an LLC explains draws and salaries.

Beneficial ownership reporting. Since FinCEN's March 2025 interim final rule, companies formed in the United States do not file beneficial ownership information reports, so a new Massachusetts LLC has no BOI filing (current position: Not required for US-formed companies).

The annual report: $500 every year

Every Massachusetts LLC files an annual report with the Corporations Division each year, around the anniversary of the date its certificate of organization was filed. The report repeats the information on the certificate: the name, principal office, the Massachusetts office for records, the general character of the business, the resident agent, managers and authorised signers. It is also the simplest way to update those details. The fee is $500, with no discount for small or dormant companies.

If you close

File a certificate of cancellation so the reports stop

An LLC that stops filing annual reports falls out of good standing, and an LLC that keeps missing them can be administratively dissolved by the Secretary of the Commonwealth. Banks, landlords and government buyers check good standing, so a missed report can hold up a loan or a contract. If someone asks you to prove the LLC is active, order a certificate of good standing; our certificate of good standing guide explains how these work.

Closing an unused LLC. Because the report costs $500 a year, an LLC that is no longer trading is expensive to keep. If you are done with it, file a certificate of cancellation with the Corporations Division and settle your tax accounts with the Department of Revenue, rather than letting it drift into dissolution with fees and filings outstanding.

Taxes and registrations after you form

Income tax. A single-member LLC owned by a person is ignored for income tax. The owner reports the profit on federal Schedule C and the Massachusetts personal income tax return, and Massachusetts taxes it at the owner's personal rate, with an additional surtax on very high incomes. A multi-member LLC files a Massachusetts partnership return, Form 3, and the members pay tax on their shares. An LLC taxed as a corporation pays the corporate excise instead. Check the Department of Revenue's current personal income tax rates page for the rate and surtax threshold that apply to the year you file.

Self-employment tax. Federal self-employment tax applies to the profit of members who work in the business. Once profits are steady, an S corporation election can reduce it, at the cost of running payroll; see LLC vs S corp.

Sales and meals tax. If you sell taxable goods, register in MassTaxConnect before your first sale and collect 6.25%. Clothing is exempt up to $175 per item, and restaurants in towns that adopted the local option charge 7% on meals. Our Massachusetts sales tax guide covers registration, filing frequency and advance payments.

Employees. Hiring staff means registering for withholding with the Department of Revenue, for unemployment insurance and the Paid Family and Medical Leave programme with the Department of Family and Medical Leave and the Department of Unemployment Assistance, and buying workers' compensation insurance. Our guide to hiring your first employee covers the federal steps.

Local licences. Cities and towns license particular activities, such as food service through the board of health, contractors through the building department, and common victualler licences for restaurants. Ask the town clerk and the board of health what applies before you sign a lease.

What it costs: a worked first-year and five-year budget

The table shows three Massachusetts LLCs. State fees come from the Corporations Division's forms. The registered agent line is a market estimate, and the town business certificate is shown as a range because each clerk sets its own fee.

First annual report (month 12)$500$500$500
State fees by the fourth anniversary$2,500$2,500$2,500

What the table leaves out. Insurance, an accountant, local food and building permits and any professional licence sit on top. A bakery also needs a board of health permit and inspection before opening.

How Massachusetts compares. The $500 report every year is what makes Massachusetts expensive over time. An Illinois LLC pays $75 a year, an Indiana LLC pays $32 every two years, and a Tennessee LLC pays at least $300. Forming in another state does not avoid the Massachusetts fee if you do business here, because a foreign LLC has to register in Massachusetts too.

Worked examples

A Boston graphic designer. Maya files a certificate of organization online on May 6, 2026, names herself as resident agent at her Jamaica Plain studio and pays $500. She gets an EIN the same day and opens a business account the following week. She sells design services, which are generally not subject to Massachusetts sales tax, so she does not register for sales tax unless she starts selling prints. Her first $500 annual report falls due around May 6 next year. She sets a reminder a month early, because missing it would leave her out of good standing just as she bids for a university contract.

A Worcester bakery owned by two friends. Sam and Leila form "Leila and Sam Foods LLC" and trade as "Shrewsbury Street Bakery". They file a business certificate for the trade name with the Worcester city clerk, register in MassTaxConnect, and apply to the board of health for a food permit before opening. Because they are a two-member LLC, they file a Massachusetts partnership return each year, and each pays personal income tax on half the profit.

A New York owner with a Cape Cod rental. Chris lives in Brooklyn and buys a cottage in Falmouth through an LLC. He hires a commercial resident agent because he has no Massachusetts address, and he names himself as the person authorised to sign real property documents on line 8, so the closing goes through without an amendment. Every year he pays the $500 report. He compares that with the insurance quote for holding the property personally, and decides the liability shield is worth it for a short-term rental with paying guests.

Common mistakes and how to fix them

Forgetting the resident agent consent. A certificate without the agent's signed consent is a common reason for rejection. Get the signature before you file, or attach a separate signed consent.

Leaving the real estate signer blank. If the LLC will own property, name the people who can sign deeds. Fixing it later means an amendment with another fee and can delay a closing.

Confusing the town certificate with the state filing. The business certificate from the town clerk is only for trade names. It does not form an LLC, and forming an LLC does not register your trade name with the town.

Keeping an LLC you no longer use. At $500 a year, a dormant LLC costs real money. Cancel it properly if you have stopped trading.

Forming in New Hampshire or Delaware to save fees. If you do business in Massachusetts, the out-of-state LLC must register here as a foreign LLC, so you pay both states. Form where you work.

What to do next

Decide first whether the $500 yearly cost is worth it for your business, using our startup cost calculator to put the fee next to your expected income. If it is, check the name with our LLC name checker, line up a resident agent who will sign the consent, file the certificate and get your EIN the same day. For the national picture, our LLC registration guide compares fees across states.

Frequently asked questions

The Secretary of the Commonwealth charges $500 to file a certificate of organization under General Laws chapter 156C, section 12. Every year after that, the LLC files an annual report that also costs $500. That makes Massachusetts the most expensive state for LLC filing fees. The EIN is free; a town business certificate and any sales tax registration are separate.
