An Idaho LLC costs $100 to form online, and after that the state charges nothing to keep it: the annual report is free by statute. The catch is the deadline. The report is due by the end of the month the LLC was formed, every year, and an LLC that misses it can be dissolved. This guide walks a first-time owner through each step in order: the name, the registered agent, the certificate of organization, the paperwork that follows, the annual report, dissolution and reinstatement, taxes and licences, and a worked first-year budget. Fees were checked against the Secretary of State's business forms page and Idaho Code Title 30 in October 2026.

Quick answer

To form an Idaho LLC, file a certificate of organization with the Idaho Secretary of State through SOSBiz and pay $100 ($20 more on paper). Name a registered agent with an Idaho street address and at least one governor (member or manager). Then file the annual report for $0 by the end of your formation month each year, starting the year after you form.

  • Name must include LLC, L.L.C., LC, L.C., "limited liability company" or "limited company"

  • Expedite for $40 (within eight working hours) or same day for $100

  • Missed report: 60-day notice, then administrative dissolution

  • Reinstatement: $30 within ten years

  • No state general business licence; free seller's permit if you sell taxable goods

What an Idaho LLC is and who should form one

An Idaho limited liability company is formed under the Idaho Uniform Limited Liability Company Act, Chapter 25 of Title 30 of the Idaho Code. The rules shared by every entity type, such as names, registered agents, filing fees, annual reports and administrative dissolution, sit in Chapter 21, the Uniform Business Organizations Code, which took effect on July 1, 2015. Once formed, the LLC is a legal person separate from its owners, so its debts and contracts are its own. That protection lasts only if you keep the LLC separate in practice: its own bank account, contracts signed in its name, and clean records.

The Secretary of State in Boise keeps the register and runs SOSBiz, the online system for formations, annual reports and changes. Taxes are handled separately by the Idaho State Tax Commission, through Idaho Business Registration (IBR) for new accounts.

For federal tax, a one-owner LLC is a disregarded entity and a multi-owner LLC is a partnership unless it elects corporate treatment. Idaho follows the federal classification, so a single-member LLC's profit goes on the owner's Idaho individual return and a multi-member LLC files an Idaho partnership return.

An LLC suits most small Idaho businesses: Boise contractors and consultants, Coeur d'Alene and McCall tourism businesses, Treasure Valley online sellers, farms and ranch operations, and landlords. You do not need to live in Idaho or be a US citizen, and one person can form it alone. Idaho also lets licensed professionals form a professional LLC, which adds "professional" or a "P" to the name and states the profession on the certificate.

Step 1: Choose a name that meets the Idaho rules

Under Idaho Code 30-21-302(d), the name of an LLC must contain "limited liability company" or "limited company", or the abbreviation "L.L.C.", "LLC", "L.C." or "LC". "Limited" may be shortened to "Ltd." and "company" to "Co.". A professional LLC may add "professional" before "limited" or a "P" before the abbreviation, giving "PLLC". The name must also be distinguishable on the Secretary of State's records from other entities and reserved names.

Search business names on SOSBiz before you print anything, and test variations with our LLC name checker. If you are not ready to file, a name reservation costs $20 online and lasts four months, according to the Secretary of State's forms page; on paper the $20 manual fee applies. Most owners skip the reservation and file the certificate directly, since filing costs only $100 and secures the name for good.

Remember that the LLC's legal name and the name on your sign can differ. If you trade under another name, register an assumed business name, covered below.

Step 2: Appoint a registered agent

Every Idaho LLC must keep a registered agent in Idaho to receive lawsuits and official notices, including annual report reminders. The agent needs a physical street address in Idaho; a P.O. box cannot be the registered office, and an assumed business name cannot serve as an agent. You can be your own agent if you have an Idaho address, or name another individual or a business.

Idaho distinguishes commercial registered agents, which file a listing statement with the Secretary of State and are then named simply by their listed name, from noncommercial agents, whose name and address you give in full. A commercial agent's listing costs it $100, and its address changes update every entity it serves at once.

About $50–$300 a year (estimate)

Owners outside Idaho, or who prefer not to put a home address on the public record, usually pay a commercial agent, typically around $50 to $300 a year (an estimate based on national agent services' published prices, not an official figure). Keep the agent in place: under Idaho Code 30-21-601, an LLC that has no registered agent in Idaho for 60 consecutive days can be administratively dissolved, as can one that fails to report within 60 days that its agent changed or resigned.

Step 3: File the certificate of organization

Under Idaho Code 30-25-201, the certificate of organization must state the LLC's name, the street and mailing addresses of its principal office, the registered agent information, and the name and mailing address of at least one governor. A governor is a member of a member-managed LLC or a manager of a manager-managed LLC. A professional LLC also states that it is one and names the profession. You may add other statements, but the Secretary of State does not accept operating agreements for filing.

File online through SOSBiz for $100. Paper forms are still accepted but carry a $20 manual processing fee, and the Secretary of State rejects paper forms sent without it. Standard filings were being processed in about 7–10 days when we checked. If you need the LLC quickly, pay $40 for evidence of filing within eight working hours, or $100 for same-day service on filings submitted before 1 p.m. Mountain Time.

The LLC is formed when the certificate becomes effective. That date sets your annual report month for as long as the LLC exists, so note it.

Why filings get rejected. The common reasons are a name too close to an existing one, a missing LLC ending, a P.O. box as the registered office, no governor named, a paper form without the manual fee, and an operating agreement attached as if it were part of the filing. Online filing catches many of these before you pay.

Step 4: EIN, operating agreement, bank account and tax registration

EIN. Apply for an employer identification number from the IRS once the LLC exists. It costs Free ($0) and the online application issues it at the end of the session. Our EIN application guide walks through each screen.

Operating agreement. Idaho does not want it filed, but every LLC should sign one covering ownership, profit shares, who can sign, how decisions are made and what happens when a member leaves. Without it, the default rules of Chapter 25 apply, and banks ask for it.

Bank account. Open an account in the LLC's exact legal name using the approved certificate, the EIN letter and the operating agreement. Our guide on how to pay yourself from an LLC explains draws and salary.

State tax registration. Register through Idaho Business Registration on the State Tax Commission's site if you sell taxable goods, hire employees, or owe other state taxes. A seller's permit costs free, and an online application usually produces one in 10–15 business days. Idaho's state sales tax rate is 6%. Our Idaho sales tax guide covers rates, local option taxes and filing.

Beneficial ownership. Since FinCEN's 2025 rule change, companies formed in the United States do not file beneficial ownership information reports (current position: Not required for US-formed companies).

The annual report: free, but due in your formation month

Every Idaho LLC files an annual report each year. Idaho Code 30-21-213 says the report must reach the Secretary of State by close of business on the last day of the month in which the LLC's certificate of organization became effective, starting the year after formation. Idaho Code 30-21-214 lists the annual report fee as "No fee". You file it online through SOSBiz; paper annual report forms are available only on request.

The report is short. It gives the LLC's name and jurisdiction, the registered agent details, the street and mailing addresses of the principal office, and the name of at least one governor, all current as of the date the report is signed. If the report shows a different registered agent or address from the Secretary of State's records, it counts as a statement of change, so you can update the agent in the same free filing. If anything required is missing, the Secretary of State returns the report for correction.

LLC dissolved if the report is still not filed

Administrative dissolution. Under Idaho Code 30-21-601 and 30-21-602, failing to deliver the annual report on time is a ground for administrative dissolution. The Secretary of State first serves a notice of its determination. If the LLC does not cure the problem, by filing the report, within 60 days after that notice, the Secretary of State signs a statement of administrative dissolution. A dissolved LLC continues to exist only to wind up its affairs or apply for reinstatement, and its registered agent's authority continues.

Reinstatement. Under Idaho Code 30-21-603, a dissolved LLC can apply for reinstatement no later than ten years after the dissolution took effect. The application gives the name, a new name if the old one is no longer available, the principal office and agent details, the dissolution date, and a statement that the grounds for dissolution have been cured. The fee is $30, and the LLC must also pay any fees and penalties that were due to the Secretary of State. Once reinstated, the LLC is treated as if it had never been dissolved. Because the annual report itself is free, reinstatement usually costs $30 plus the missed reports filed at no charge, but the gap in good standing can still cause problems with banks, lenders and contracts in the meantime.

Assumed business names, licences and local rules

Assumed business names. If your LLC trades under any name other than its exact registered name, file a certificate of assumed business name with the Secretary of State. It costs $25 online, and an amendment costs $10. An assumed name is not a licence and does not protect the name as a trademark. See our DBA guide.

Licences. Idaho has no general state business licence. Regulated occupations, such as contractors, cosmetologists and real estate agents, need a state licence from the relevant board, and some cities license particular activities. Our Idaho business license guide lists what applies and shows Boise's fees.

Sales tax. If you sell taxable goods, you need the free seller's permit before your first sale. Occasional sellers may qualify for Idaho's small seller exemption, which is limited to gross sales of $5,000 a calendar year and has other conditions, and out-of-state sellers register once Idaho sales pass $100,000. Resort cities such as McCall add local option taxes.

Foreign LLCs, amendments and certificates

Registering an out-of-state LLC. An LLC formed elsewhere that does business in Idaho files a foreign registration statement for $100. If your business is only in Idaho, forming in Wyoming or Delaware usually means paying two states, since you would still register here.

Amendments. Changing the name, governors or other details in the certificate costs $30 online. Address and agent changes can often be made in the free annual report.

Certificates of existence. Banks and landlords sometimes ask for one; it costs $10. See our certificate of good standing guide.

Closing down. A statement of dissolution of an LLC has no fee under Idaho Code 30-21-214, and a statement of termination is also free. Close your tax accounts with the State Tax Commission as well.

What it costs: a worked first-year budget

The table shows three realistic Idaho LLCs. State fees come from Idaho Code 30-21-214 and the Secretary of State's forms page; the registered agent line is a market estimate; city licences are left out because they vary.

What the table leaves out. Insurance, an accountant, any city licence, liability coverage for the kayak rental and lodging taxes for the cabin sit on top.

Compared with neighbours. Utah charges $59 to form and $18 every year, and Washington charges $180 to form plus $70 every year. Over five years an Idaho LLC that files on time pays the Secretary of State $100 in total.

Worked examples

A Boise marketing consultant. Jess files "Foothills Signal LLC" on SOSBiz in March, names herself as registered agent at her Boise home and as the sole governor, and waits about a week for approval. She sells services that are not taxable in Idaho, so she needs no seller's permit, but she sets a reminder for March 1 each year and files the free report in five minutes.

A Coeur d'Alene kayak rental run by two partners. Tom and Ana want to open on Memorial Day weekend, so they pay $40 for expedited filing and get evidence of filing the same working day. They name Tom as manager, trade as "Lake City Paddle" under a $25 assumed business name, and register for a seller's permit because rentals of tangible goods are taxable. They file an Idaho partnership return each year.

A Washington owner with a Sandpoint cabin. Mark lives in Spokane and holds a rental cabin in an Idaho LLC. He pays a commercial registered agent in Idaho. One year he misses the report while travelling, receives the notice of administrative dissolution, and files the report online within the 60 days, so the LLC is never dissolved and he pays nothing extra.

Common mistakes and how to fix them

Missing the anniversary month. Idaho's deadline is the end of the month you formed, not a fixed date. If you missed it, file the report online at once; filing within 60 days of the dissolution notice avoids dissolution altogether.

Paying mailers. Letters offering to file your Idaho annual report for a fee come from private companies. The report is $0 on SOSBiz.

Paper filing without the surcharge. Paper forms need the $20 manual fee or they are rejected. Filing online avoids it.

Letting the agent lapse. Sixty days without a registered agent is a ground for dissolution, so replace a resigning agent quickly.

Forming out of state for an Idaho business. A Wyoming or Delaware LLC that operates in Idaho still registers here for $100 and files Idaho reports.
